Please read these Terms and Conditions (“Terms”) carefully. By accessing, browsing, or otherwise using the website operated by Freesheart™ Pte. Ltd. (the “Website”), you agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the Website.
In these Terms, “Freesheart™”, “we”, “us”, or “our” means Freesheart™ Pte. Ltd. (UEN 202615266C), a private limited company incorporated in the Republic of Singapore, together with its director, officers, employees, contractors, and authorised associates. “You” or “your” means any person or entity that accesses or uses the Website. These Terms incorporate by reference our Disclaimer and Privacy Policy.
1. Intellectual Property & Framework Lock
All content on the Website is the exclusive property of Freesheart™ Pte. Ltd. or its licensors and is protected by the copyright, trademark, and other intellectual-property laws of the Republic of Singapore and the corresponding laws of other jurisdictions, including the Berne Convention. Protected content includes, without limitation:
- All copywriting, text, narratives, essays, and editorial material;
- The Freesheart™ name, the “Freesheart™” word mark, logos, monograms, visual graphics, colour systems, typography, and overall trade dress;
- All multilingual research translations, glossaries, and cross-cultural interpretive materials;
- All proprietary systems models, methodologies, and conceptual frameworks — including without limitation the Heart-Body-Mind-Gut framework and the integration of the Malay principle of “Zahir dan batin” (the outer/manifest and the inner/essence) into organisational and intercultural strategy;
- Photographs, illustrations, audio, video, and downloadable materials.
Except as expressly permitted below, you are strictly prohibited from copying, reproducing, republishing, adapting, translating, distributing, transmitting, displaying, selling, licensing, or otherwise exploiting any content of the Website, in whole or in part, without our prior written consent. In particular, the following are expressly prohibited:
- Corporate plagiarism and unauthorised replication of any framework, model, methodology, copy, or translation, whether verbatim or in materially similar derivative form;
- Automated data scraping, harvesting, crawling, or mining of the Website or its content by any means;
- The use of any content of the Website to train, fine-tune, ground, or develop any artificial-intelligence, machine-learning, large-language-model, or generative system, whether commercial or otherwise. The use of the Website to develop such systems, or the extraction of content for such purposes (“text and data mining” within the meaning of any applicable copyright exception), is expressly not authorised and is reserved by Freesheart™.
Limited licence. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Website for your own personal, non-commercial reference. This licence confers no ownership and may be revoked at any time. All rights not expressly granted are reserved.
2. Indemnification & Limitation of Liability
To the maximum extent permitted by law, the Website and all of its content, including all research summaries, narratives, frameworks, and other materials, are provided on an “as is” and “as available” basis without warranty of any kind, and your use of, or reliance upon, them is entirely at your own risk.
Liability cap. To the fullest extent permitted by applicable law, the total aggregate liability of Freesheart™ Pte. Ltd. and Faris Ridzuan arising out of or in connection with your use of, or inability to use, the Website, or your reliance on any content, research, or narrative published on it, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the nominal sum of one hundred Singapore Dollars (S$100.00) in the aggregate.
To the fullest extent permitted by law, in no event shall Freesheart™ or Faris Ridzuan be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages whatsoever, including without limitation loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, arising out of or in connection with the Website, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability to the extent that such exclusion or limitation is not permitted by applicable law (for example, liability for fraud or for death or personal injury caused by negligence).
Indemnification. You agree to indemnify, defend, and hold harmless Freesheart™ Pte. Ltd., Faris Ridzuan, and their respective officers, employees, contractors, and associates from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or in connection with: (a) your use or misuse of the Website; (b) your breach of these Terms; (c) your infringement of any intellectual-property or other right of Freesheart™ or any third party; or (d) any content you submit to us.
3. Governing Law, Jurisdiction & SIAC Arbitration
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, the Website, their subject matter, or their formation, are governed by and construed exclusively in accordance with the laws of the Republic of Singapore, without regard to any conflict-of-laws principles.
Binding arbitration. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (the “SIAC Rules”) for the time being in force, which rules are deemed incorporated by reference in this clause.
The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English. The arbitration award shall be final and binding on the parties.
To the extent any matter is not subject to arbitration, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Singapore. You agree that arbitration and any proceedings shall be conducted on an individual basis and not as a class, collective, or representative action.
4. Complete Separation of Creative Ventures
The Website may reference, and Faris Ridzuan separately maintains, an external domain at farisridzuan.com relating to his independent career as a singer-songwriter (the “Creative Venture”). The Creative Venture is operated separately and is not part of the Freesheart™ consulting and coaching practice.
Freesheart™ Pte. Ltd. holds zero corporate, operational, contractual, or legal liability for any aspect of the Creative Venture, including without limitation any media consumption, streaming, content, data collection or processing, payments, e-commerce, merchandising, or any other activity conducted on or through farisridzuan.com or any associated platform. Any link to farisridzuan.com is provided for convenience only and does not imply that Freesheart™ controls, endorses, or is responsible for that domain, which is governed by its own separate terms and privacy practices.
5. Acceptable Use
You agree not to use the Website to:
- Violate any applicable law, regulation, or third-party right;
- Introduce any malware, virus, or harmful code, or attempt to gain unauthorised access to the Website, its servers, or related infrastructure;
- Interfere with or disrupt the integrity, performance, or availability of the Website;
- Engage in any automated access, scraping, or data mining prohibited under Clause 1 above.
6. Third-Party Links & Services
The Website may contain links to third-party websites and embed third-party services (for example, scheduling tools and professional-network profiles). Such links and services are provided for convenience only. We do not control and are not responsible for the content, policies, or practices of any third party, and your use of them is subject to their own terms.
7. Changes, Severability & Entire Agreement
We may revise these Terms at any time by posting an updated version on the Website. Your continued use of the Website after any change constitutes acceptance of the revised Terms. If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. These Terms, together with the Disclaimer and Privacy Policy, constitute the entire agreement between you and Freesheart™ regarding your use of the Website and supersede any prior understanding. No failure or delay in exercising any right shall operate as a waiver of it.
